Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Rekon, an AI-powered financial document intelligence platform (the “Service”) operated by Ian Louw (“Rekon”, “we”, “us”). By creating an account, accepting an invitation, or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an accounting firm or other organisation, you represent that you have authority to bind that organisation, and “you” includes that organisation.
1. The Service
Rekon extracts transaction data from financial documents (such as bank statements) uploaded by you, categorises transactions using machine learning and third-party AI services, and produces accounting outputs including VAT returns, annual financial statements, PAYE reconciliations, and general ledger exports. The Service is designed for professional accountants and bookkeepers operating in Namibia and South Africa.
The Service is a tool that assists professional work. Outputs — including OCR extraction, AI categorisation, and generated reports — may contain errors and must be reviewed by a qualified professional before being relied upon or filed with any authority. Rekon does not provide accounting, tax, or legal advice.
2. Accounts and eligibility
Accounts are provisioned by invitation or approved access request. You must provide accurate registration information, keep your credentials confidential, and notify us promptly of any unauthorised use of your account. You are responsible for all activity under your account.
3. Client data and authority
Where you are an accounting firm, you act as the responsible party for the personal information of your clients that you upload to the Service, and Rekon processes that information as your operator. You warrant that:
- you have the lawful authority, mandate, or consent required to upload and process your clients’ financial documents and personal information through the Service;
- you have informed your clients, where required, that their data is processed by third-party service providers including AI services; and
- you will only upload data that is necessary for the accounting services you provide.
4. Acceptable use
You must not:
- upload documents or data that you do not have the right to process;
- use the Service for any unlawful purpose, including money laundering, fraud, or evasion of tax obligations;
- attempt to access data belonging to another tenant, probe or circumvent security or access controls, or interfere with the operation of the Service;
- reverse-engineer, scrape, resell, or sublicense the Service without our written consent; or
- upload malicious code or use the Service to distribute it.
We may suspend or terminate access for breach of this section.
5. Fees
Use of the Service is subject to the fees agreed between you and Rekon in your service agreement or order form. Fees are invoiced per that agreement; the Service does not currently offer self-serve billing. Unless agreed otherwise, invoices are payable within 30 days and non-payment may result in suspension of access after reasonable notice.
6. Availability
We aim to keep the Service available and to back up data regularly, but the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of uninterrupted availability, accuracy of outputs, or fitness for a particular purpose. We may modify, suspend, or discontinue features with reasonable notice where practicable. You remain responsible for retaining your own copies of source documents.
7. Limitation of liability
To the maximum extent permitted by law: (a) Rekon is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill; (b) Rekon is not liable for penalties, interest, or assessments arising from filings or decisions made in reliance on Service outputs that were not independently verified by a qualified professional; and (c) Rekon’s total aggregate liability arising out of or relating to the Service is limited to the fees you paid to Rekon in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
8. Intellectual property
Rekon and its licensors retain all rights in the Service and its software. You retain all rights in the documents and data you upload. You grant us a limited licence to process that data solely to provide and improve the Service as described in the Privacy Policy.
9. Termination
You may stop using the Service and request deletion of your tenant at any time. We may terminate or suspend access for material breach of these Terms, for non-payment, or where required by law. On termination, data deletion follows the retention and cooling-off rules described in the Privacy Policy, subject to statutory retention obligations applicable to financial records.
10. Changes to these Terms
We may update these Terms from time to time. We will give notice of material changes via the Service or by email to the account contact at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
11. Governing law
These Terms are governed by the laws of the Republic of Namibia, and the courts of Namibia have jurisdiction over any dispute arising from them, without prejudice to mandatory consumer or data protection rights available to you in your country of residence.
